The Effects Of Huey Long s Bills Affecting Our State

Has anyone here ever stopped and wondered why LSU is the size it is today or why there never seems to be a shortage of schools wherever you go in the state. Whether you have or not, these are both causes of Huey Long’s bills affecting our state, also known as the reign of the Kingfish. Huey Pierce Long was born on August 30, 1893, in the town of Winnfield located in Winn Parish to Mrs. Caledonia Long and Mr. Huey Long, Sr. The young Huey was the seventh of nine children (his younger siblings being named Earl and Lucille), and he lived the life of a farmer’s child. Although he lived in an environment that offered little time for leisure or even education, Huey’s parents emphasized education in each of their children’s lives along with individual expression and competition. The family was also a group of astute Christians with their daily Bible studies, attending church twice a week, and frequent attendance to gospel revivals. As Huey grew, there was no school for him to go too. Therefore, his mother home-schooled him with his eight siblings until a formal education was accessible. While being homeschooled, Huey studied penmanship, writing, math, history, classic literature, and poetry along with the Bible being the mainstay of his teachings. By age eleven, Long started going to a public school in fourth grade. He was far ahead and bored by the teachings. He eventually persuaded his teacher to let him skip seventh grade. Ashley will change all her daily habits, and adopt a whole new diet rich in proteins and carbohydrates. Rachel Beller said that Ashley has the right approach in order to gain weight, because she eats three meals and two snacks a day, which is exactly what to do in order to gain weight, she says. Besides, Rachel says that Ashley eats the right amount of calories, but her food choices are too high in simple carbohydrates and unhealthy saturated fats. The nutritionist advises to focus instead in foods with high fiber cereals for breakfast, and high calorie, nutrient-dense meals for lunch and dinner. She also insists in eating whole grain carbs, which have the same amount of calories than regular carbs, however with more fibers. Also, Rachel points out that most people thing in volume when they want to gain weight. The key in gaining weight is choosing low-volume high-calorie snacks, such as granola, nuts, and pretzels, among others. This article I found extremely interesting because it completely applies to my health goal. I used to think gaining weight came along when you eat a lot of food. Reading this made me realize that the quality of food is more important than the quantity. This is the key to my problem. I found it very inconvenient to eat a lot of food all day every day, because I’m not a big eater. Knowing that I can eat a normal amount of food and still can weight makes me think that I can finally reach my goal weight. Rachel Beller made a meal plan suggestion that I already started to apply in my daily habits. It is not constraining, and I really start to find a difference in my life. I don’t fell stressed anymore if I don’t eat a lot because I’m running around too much. I know that what I eat is high in calories protein, and fiber, which will help me maintain or gain weight. Plus, I can finally work out without worrying about losing weight if I don’t indulge in a good amount of food. This article breaks down the different types of food that are rich in calories. It is said that if you want to gain weight you have to add extra calories in your diet. However, instead of indulging in junk food, instead you should choose foods that are nutrient dense and energy dense. The article shows eight different foods that are fattening but high in good calories. It says, if you want to make good choices while gaining weight you need to focus in nutrient dense calories, which are: Bagels, Pasta, Dried Fruits, Healthy Oils, Avocados, Nuts and Seeds, Granola, and Fruit juice. Most of these foods are extremely healthy, while giving enough nutrients to your body on a daily basis. If you stick with a diet including high fibers, and nutrient, your body mass will increase over time. This article really opened my horizons in what type of food I should eat to reach my goal. I used to have no idea what kinds of foods were rich in calories but healthy. Now I can apply what the article says into my diet. I used to eat a lot of things for breakfast but that were just high in energy without giving me any fat. Now I can eat a bagel with granola and fruit juice, and have a lot more calories for breakfast than I used to. This list of foods has made it so much easier for me to reach my goal without stressing over the amount that I eat and what I eat. Now I have a meal plan for my everyday meals, and it includes all these foods. I just stick with my plan and see how it goes. Right now, I already feel so much better, and I already see a difference in y body. I fill my clothes better than I used to, and to me it’s so motivating to keep up my efforts. Underweight people are still at risk if binging on fatty foods, meaning they can get diseases such as cholesterol. That is why it is important to know what to eat in order to gain healthy weight. I realized after few weeks of daily work out that I lost a good amount of weight, so I stopped working out. I wasn’t eating the right type of food, rich in good carbs and proteins. She thinks being a little underweight isn’t a problem health wise; however, it can be an issue if a person doesn’t feel comfortable and would like to look a bit fuller. Doctor Zelman insists on the fact that even skinny people should be cautious of their food choices, and wanting to gain weight â€Å"is not about bellying up to an all-you-can-eat buffet†. Gaining weight comes when you go for nutrient rich foods. High calories foods are essential, but nutrients are even more. It is important to stay away from sugar, fat and empty calories foods. However, fat is important to gain weight but not all fats are good for you. For instance, fat from nuts are healthier than fat from meat. Also, it is primordial to eat often, like six meals a day, which are three meals and two snacks. Moreover, when exercising, it is imperative to indulge in more calories than usual. If you want to gain weight eating more calories than your body will burn is essential. Also, high protein foods are a good choice, because it helps your muscles recover faster. These foods are fish, lean meats, poultry, legumes, eggs, and whole grains, among others. I need to eat often, choose high nutrient foods, and exercise. I used to think three meals a day were enough. However, snacks are considered mini meals. Snacking isn’t only negative. If you make good choices snaking helps with the process of gaining weight. Also, I’m the type of person who won’t feel hungry at all time. Very often I feel hungry but I don’t know what I want so I end up not eating. Gaining weight is all about making a new routine for yourself, and knowing what is good for you. Objective Research Most people don’t realize that sometimes it can be much easier to lose weight than to gain weight. Most people that struggle with their weight would want to look healthier and fuller. It is not easy to gain weight and most people that want to lose weight don’t understand it. The majority of people that are overweight don’t understand people who want to gain weight, and think that they are just seeking attention. Yes, it is unhealthy to be overweight, yet, being underweight can be as unhealthy. According to Beth W. Orenstein from the article How to Gain Healthy weight, â€Å"Depending on how underweight you are, it could be just as unhealthy as being overweight†. People usually hear about the health risks of being overweight. However, nobody really hears about the health risks of being underweight. Most people have misconception on the way you are supposed to look, and are driven to lose weight because of the media. Every day, when watching TV, the stick thin figures of models, and other celebrities, are advertised all over. For most people, being thin is how everyone is supposed to look. It became the norm of how society perceives how people should look. However, according to the article, what are the health risks of being underweight? Lillian Downey tells us that being underweight comes with severe health issues. It can cause infertility in women, osteoporosis, and decrease immune function. In the article Lillian says that â€Å"low body weight, intense, prolonged physical activity, low calorie and nutrient restricted diets often cause women to stop ovulating and menstruating†. This affects the functioning of the reproductive system. Moreover, poor nutrient intake, and low body mass affect bones’ health. People that are underweight have more fragile bones. â€Å"Persons who are severely underweight may suffer from loss of muscle mass, which supports bones and joints, and helps prevent bone breaks, dislocations and fractures†. Lastly, the immune system is affect by low body mass. Low consumption of fats, proteins, vitamins, and minerals weakens normal immune function, says Ms. Downey. Being underweight has other side effects. It can be dangerous to be underweight depending on how underweight you are. According to the article Dangers of Underweight, the negative effects are: Prone to infection (comprised immune system), Low muscle mass, Hair loss, Irregular hormone regulation, Osteoporosis, Anemia, Pregnancy complications (or inability to get pregnant), Menstrual irregularities. People have misconceptions about skinny people. They think that everyone wants to be thin, so why someone would possibly want to gain weight. People need to realize that skinny isn’t the way to be. It can be very unhealthy, and bring serious health issues. They drive to diet because they want to be â€Å"normal†, which means get to the status of Hollywood, and what the media portrays about what it is to be beautiful. In America, people are really into the whole glamour scene of Hollywood celebrities. They look up to these celebrities and see them as their role model. This means being thin is the way to go, and is how people is supposed to look like. It is important for people to take care of their body, and be more health conscious. Being overweight or underweight can be equally as unhealthy. Eating right is more important than ever. The way you look is subjective to what you eat. So instead of doing drastic changes to gain weight, it is important to eat well. Loading in junk food will bring you the calories that you are supposed to take per day; however, it won’t be good calories. Eating well and nutrient dense foods, will help you can weight in the wanted areas of your body. This will avoid building fat around the belt area. Summary and Conclusion This project successfully broadened my horizon in being food health conscious. All my life I dreamed about having a fuller figure. I wanted to fill my clothes with more curves. I rapidly understood how much of a struggle gaining weight can be. Everyone around me always told me â€Å"why do you want to gain weight while everyone wants to lose weight? † I never really could open up about my issue because no one could understand it. Today, I finally made the decision of changing my lifestyle to the better. All my researches talked about similar ways to gain weight. This includes mainly eating more often, eating nutrient dense foods, and exercising. Since January I have been following this gain weight diet, and surprisingly for the first time in my life it worked. In three month and a half I gained eight pounds. My goal was to gain ten pounds, but I’m really happy about the outcome. I would have never thought I could gain this much in a little time. My daily routine was to eat three nice meals per day, and two snakes. For breakfast, I always eat a whole grain bagel with butter, oatmeal with raisins in it, and two eggs. For lunch and dinner I always eat at least one kind of vegetables with meat of fish, and carbs such as pasta, or rice. I also snack on nuts a lot. I always carry almonds, pistachios or cashew in my bag, if I don’t have much time. If I have time I make myself smoothies with at least three types of fruit with milk, and orange juice, and I also add two scoops of vanilla ice-cream. Also, I make myself peanut butter and jelly sandwiches, or I eat Greek yogurts. Even if I’m not hungry I force myself to eat at least a yogurt for a snack or a banana. This project was extremely successful for me. I have a whole new health conscious routine that I will keep forever from now on. I’m today weighing 118 pounds, and would like to be 125 pounds. As soon as I will reach my ideal weight I will keep eating healthy but I won’t stress so much on eating fatty foods. This article I found extremely interesting because it completely applies to my health goal. I used to think gaining weight came along when you eat a lot of food. Today, I finally made the decision of changing my lifestyle to the better. All my researches talked about similar ways to gain weight. Since January I have been following this gain weight diet, and surprisingly for the first time in my life it worked. In three month and a half I gained eight pounds. My goal was to gain ten pounds, but I’m really happy about the outcome. I would have never thought I could gain this much in a little time. My daily routine was to eat three nice meals per day, and two snakes. For breakfast, I always eat a whole grain bagel with butter, oatmeal with raisins in it, and two eggs. For lunch and dinner I always eat at least one kind of vegetables with meat of fish, and carbs such as pasta, or rice. I also snack on nuts a lot. I always carry almonds, pistachios or cashew in my bag, if I don’t have much time. If I have time I make myself smoothies with at least three types of fruit with milk, and orange juice, and I also add two scoops of vanilla ice-cream. Also, I make myself peanut butter and jelly sandwiches, or I eat Greek yogurts. Even if I’m not hungry I force myself to eat at least a yogurt for a snack or a banana. This project was extremely successful for me. I have a whole new health conscious routine that I will keep forever from now on. I’m today weighing 118 pounds, and would like to be 125 pounds. As soon as I will reach my ideal weight I will keep eating healthy but I won’t stress so much on eating fatty foods. Answer: Introduction to constitution and legal issues The replaceable rules or constitution of a company provide the guidance which the officers and directors of the organisation abide by in order to carry out the responsibilities with respect to the organisation. The clauses of relationship with any third party as well as its members are set out by the constitution of the organisation[1]. This part of the paper discusses about effect the Constitution have with respect to the relationship between the members of the company. This part also discusses whether our constitution can be amended and what are the requirements and process involved in amending the constitution. The paper also discusses remedies available to a member whose rights have been violated by the directors or majority shareholders of the organisation. There are two primary issues which needs to be determined in relation to this part of the paper. Firstly the issue is whether it is within the powers of Som to impose the term which is incorporated into the constitution of Ch ocolate Cleaning Products Pty Limited (CCP) in relation to him being the solicitor and not being replaced unless there is negligence. Another issue which needs to be determined in relation to this question is whether the directors of the company can change successfully its constitution as per the rules of the Corporation Act 2001 (Cth). Section 140 of the CA Section 140 of the corporation act deals with the effect of replaceable rules and the constitution of the company. Subsection 1 provides that the terms of the constitution and replaceable rules of a company have an effect in form of a contract between each member of the company and the company, between the members of the company with each other and between the director and company secretary with the company. According to the contract each person agree to abide by its terms as far as they are applicable on them. Unless there is an agreement between the members of a company to be bound in writing search members cannot be found with respect to any alterations in the constitution which has been made after they have become members. These alterations should be related to asking a member to take up additional shares, increasing the liability of the member my asking to pay money to the company or contributing to the share capital and imposing limitations on transferring shares which are held by the member[2]. Cases on Section 140 of the CA In the case of Lion Nathan Australia Pty Ltd v Coopers Brewery Limited it was provided by the court that the constitution of a company has the same nature like a commercial contract between two or more parties and the violation of which results in contractual remedies. Section 136 of the CA According to the provisions of this section the constitution of the company can be changed by passing a special resolution by the shareholders of the company. However if there is a further Clause mentioned in the constitution the clause has to be complied with before the clause can be amended. In addition in order to amend such condition the condition itself has to be complied with before being amended[3]. Section 232 of the CA Section is related to providing remedy to a person under section 234 of the CA whose rights have been violated, prejudice or unfairly discriminated by an act or resolution or a proposed act or resolution[4]. Section 233 of the CA As per section 232 any order can be made by the court including a specific action, injunction, winding up of the company and modification or repealing the existing constitution[5]. Section 234 of the CA Proceedings can be brought under section 233 by any person who is a member of the company a person who has been removed as a member of the company as a result of specific reduction[6]. Relevant cases in relation to Section 232-234 Gambotto v WCP Ltd[7] the court held that the majority has to provide that the act was overall fair and not prejudicial in case it is related to the Expropriation of shares. Determination of issue 1 The constitution of CCP provides that Max can be only removed as a solicitor of the company if negligence have been committed by him while discharging his duties in relation to the company. Section 140 as discussed above establishes the contractual relationship between the members of the company. Thus the directors of the company have been imposed with a duty by the constitution not to remove Max as a solicitor if he has not committed negligence. In addition as this conduct of the directors can be seen as an oppressive and unfair conduct Max can claim remedies under section 232 by seeking an order under section 233 as he is eligible to do so under section 234 being a member of the company. The court may order the directors not to remove Max as a solicitor as it has the power to do so under s233. Determination of issue 2 The directors of the company want to change the constitution. As per section 136 the constitution can be changed by the passing of a special resolution which has been done so by the directors as they have the voting number required.. Max may prevent the directors from changing the constitution under Section 233 of the CA by obtaining an order to repeal the change of the Constitution made by the directors. This is because under section 232 which is related to oppressive remedy an order Maxs right are being oppressed by the directors. Max is a member of the company as he has been provided through will 5% shares of the company. Thus he is entitled to make a claim under section 232 Conclusion The directors cannot remove Som as the solicitor of the company and they cannot change the constitution in relation to the expropriation of shares under the provisions of section 140, 136 and 232-233. Introduction to directors duties and legal issue Directors of an organization are obligated to observe certain standards and follow certain guidelines in relation to the facts of their operation with respect to the company they have been appointed to manage. These standards and guidelines are known as directors duties to a company which are provided in from of statutory duties and equitable duties. The principal legislation setting out the statutory duties of director is the Corporation Act 2001. The equitable directors duties are set out through various landmark cases and common law[8]. The major issue to be determined in this part of the paper is to find out whether any of the duties have been violated by the directors of Aussie Boats Ltd (AB). The applicable remedy for the breach of duty is also provided through this part. Equitable duties of directors The duty to base action towards proper purpose and to observe good faith towards the action The duty to be loyal towards the company The duty to avoid conflict of interest and prioritise the organization interest if such situation comes up. In such situation priority always needs to be given to the companys interest rather than personal interest[9]. Statutory duties under the CA Section 180 Subsection 1 provides a duty which asks the directors to deploy appropriate diligence and skill while discharging their powers. Whether skill and diligence have been deployed appropriately is identified objectively through engaging a reasonable director (imaginary) in similar position and comparing the actions of the imaginary director with the real director. Subsection (2) provided business judgment rule. The rule is a defence which can be used by the directors of the company. The defence is useful against the violation of any duty by the director. According to the defence t is the right of a director to determine the level of risk which a company is willing to take in relation to its purpose. Whether the defence has been appropriately used is also determined objectively through the above discussed test.[10] Section 181 The section ask the directors to act in proper purpose applying bona fide intentions while exercising their powers. The duty is consistent with the equitable duty of acting in proper purpose and good faith[11]. Section 182 The power gained by the directors through the application of their position must not be misused by them. They are not allowed to make personal gain by using the position and case disadvantage to the company. The duty is also consistent with the equitable duties of directors[12]. Section 183 This duty is related to conflict of interest and similar to that of section 182. Here the directors instead of position must not use any information which have been accessed by them as they are the directors of the company to achieve own advantage by causing loss to the company[13]. Remedies and penalties for the breach of duties by the directors Section 206 C Through the application of this section the court has the power to disqualify or suspend a director of a company to manage any company for a prescribed period of time in case the directors are guilty of breach their duties[14] Section 1317E The section provided civil penalties for the directors which include fines in case the breach made by the director is considered as a serious breach[15]. Section 233 As discussed in the previous question Section 1324 gives defence to the directors id they have violated the duties[16] Cases on directors duties (ASIC) v Cassimatis[17] -In this case the director who had been found guilty of violating his duties had been imposed with a fine of $100000 as well as was disqualified from being a director of any company for two years. ASIC v Lindberg[18] - In this case the court found that if the directors do not work in the best interest of the company and do not use their deploy diligence and skill towards the operation they are liable for the violation of section 180(1) of the CA, where actual loss incurred by the company is not essential to determine breach. Determination of the issue In the given circumstances the directors of Aussie Boats Ltd (AB) are finding it difficult to compete with the other companies who also deal in boats. They are also feeling threatened by one of their competitors who are planning to a make takeover bid as the competitor has purchased their shares. The competitors have a reputation of removing the executive directors once they have successfully made a takeover. It can be evidently said that the issue of new shares to raise further capital and giving consideration to another accompany for preparing a report done by AB is out of the fear that the position of the director may be in danger if a successful takeover bid in made this is because the company is nearing insolvency and a reasonable directors would not take the same action as per section 180(1) of the CA. It can be stated further that the directors are not acting in good faith which violates section 181 of the CA. This is because it would not be for the best interest of the company to risk another venture while it is making losses. In addition section 182 and 183 of the CA have also not been complied with as the directors are using the information and position they have to secure personal interest which is the fear of getting removed as the directors of the company. Thus as the duties have been breached the directors are liable to civil penalty provisions according to section 1317E and 206C of the CA which may make them liable to financial penalties as well as suspension from managing the corporation. The directors can also be held personally liable for any loss incurred by the company as they have violated section 588G by doing insolvent trading. In addition the Non-executive director can make a claim against the directors under section 232 of the CA. Conclusion The directors have violated the equitable and statutory duties they owe to the company. The defence under section 180(2) would not be applicable they may claim defence under section 1324 of the CA.
